JackRabbit Systems (JACKRABBIT) provides the BookDirect™ lodging accommodation search engine (BOOKDIRECT), which is embedded into high-traffic, local, and regional websites throughout the United States and Canada (BOOKDIRECT NETWORK). The BookDirect system automatically collects rate and availability information from participating accommodation inventory systems and displays this information on the host website so consumers can easily browse lodging options in the market. Consumers then click a "BookDirect" button, which redirects them to the accommodation's own website, where they can finalize their reservation. In so doing, BookDirect eliminates the middle-man and creates a seamless bridge between the accommodation and the guest.
LODGING is a property that provides rooms for rent on a not more than weekly and not less than daily basis. To include your accommodation (hotel, motel, bed & breakfast, inn, resort etc.) in the BOOKDIRECT NETWORK, please fill out the sign-up form below.
- LODGING agrees to be listed on all relevant websites in the BOOKDIRECT NETWORK.
- LODGING agrees to pay JACKRABBIT either (please select pricing model):
- If LODGING does not currently have an online reservation system, check here to use JACKRABBIT's FREE online reservation system. The free online reservation system will be part of the 12% reservation fee model above and already includes the reservation tracking code. (After submitting the current form, you will be redirected to a separate form to complete the sign-up process).
- LODGING agrees to be invoiced monthly, based on a monthly accounting of a) the number of clicks directed to LODGINGs website, or b) the total reservation amount generated through BOOKDIRECT (based on LODGING's ability to embed the JACKRABBIT reservation tracking code in LODGING's reservation engine confirmation page).
- LODGING agrees to pay all applicable state and local taxes.
- Full payment is due within thirty (30) days of invoice date. Late payments will accrue a 1.5% per-month service charge.
- LODGINGS listings will be removed from the BOOKDIRECT NETWORK for nonpayment after forty-five (45) days.
- LODGING authorizes JackRabbit to interface with LODGINGs inventory system provider (via indexing or an API, where applicable) in order to display LODGING pricing and availability information and BookDirect reservation links in the BOOKDIRECT NETWORK.
- LODGING agrees to indemnify and hold harmless JACKRABBIT from any loss, liability, damage or costs, including court costs and attorney fees, that they may incur due to participation in THE SERVICE, whether caused by negligence of JACKRABBIT or otherwise.
- JACKRABBIT shall own the data collected on the HOST WEBSITE. (Data is defined as clicks, conversions, and originating path information, all of which are gathered for BookDirect Reports).
- The Term of this Agreement shall be for one year, with automatic annual renewals.
- LODGING may cancel this Agreement at any time with 30 days of written notice. Lodging agrees to pay for JRS services until the final date that services are provided.
- The parties agree that the electronic version of this agreement is acceptable and binding.
- LODGING acknowledges that this agreement may be superseded at any time by a contract with the LODGING's parent organization (i.e. hotel chain), if applicable. LODGING does not need to complete this agreement if it is part of one of the following chains: Accor, America's Best Value Inns, Best Western, Carlson, Drury, Hilton, Intercontinental Hotel Group (IHG), La Quinta, Marriott, Starwood and Wyndham brands.
